InfoCert underwrites a capital increase to acquire 51% of the Spanish AC Camerfirma S.A.

Tecnoinvestimenti Group Realizes First Acquisition Abroad in Pursuit of International Leadership in Digital Trust: InfoCert & the Spanish Chambers of Commerce to collaborate to expand the Digital Trust business in Spain and South America.

The acquisition of a majority stake in Camerfirma is the first strategic step in the creation of a pan-European QTSP (Qualified Trust Service Provider)

Rome, Madrid. 3 May 2018 – Tecnoinvestimenti Group, through its subsidiary InfoCert S.p.A. (InfoCert), the largest Certification Authority in Europe, announces to have successfully completed the acquisition -by means of the subscription of new shares- of a majority stake in AC Camerfirma SA (Camerfirma), one of the leading Spanish Certification Authorities.

InfoCert, based in Rome, is the Italian leader in Digital Trust services and is pursuing an ambitious goal to create a Pan-European Trust Service Provider through organic growth, M&A and partnerships. In such context, Camerfirma has been selected as the ideal partner to develop the Iberian and Latin America markets.

Business of Camerfirma

Camerfirma is located in Madrid, with a solid presence in the Spanish market as well as some commercial initiatives in South America. Owned by the Spanish Chambers of Commerce, the company was founded in 2000. Camerfirma’s customer base includes private companies and the Spanish public administration.

Camerfirma was established as Certification Service Provider under Spanish Law 59/2003 of 19 December regarding Electronic Signatures and Identity Certificates that allows companies and their employees to sign electronically documents with full technical security and legal validity.

Camerfirma reported Euro 3.3 million in revenues and an EBITDA of Euro 0.5 million in 2017. At 31 March 2018 the net cash position amounts to Euro 0.3 million.

The Transaction

InfoCert has acquired 51% of Camerfirma by underwriting a capital increase of Euro 3.1 million. InfoCert will fund the acquisition by utilizing internal resources.

The operation will allow InfoCert to boost its international growth strategy through:

  • The creation of a multi-national Trust Service Provider with solid institutional roots and a clear focus on EU markets and regulatory compliance;
  • The integration of respective offering and capabilities for a more effective market coverage, thereby expanding both companies’ portfolio of services and delivery capabilities to better address their respective markets;
  • The exploitation of synergies in infrastructure, operations, investments, innovation and new product/solution development.

InfoCert is now an Access Point of the PEPPOL Network: the European Union cross-border e-Procurement system

Tecnoinvestimenti Group strengthens its European positioning in the electronic invoicing market

Rome, April 5nd 2018 – InfoCert (Tecnoinvestimenti Group), the largest Certification Authority in Europe, announces to have successfully completed the certification process to become an Access Point of the PEPPOL (Pan-European Public Procurement On-Line) Network, which aims at spreading the use of digital services for cross-border e-Procurement transactions in the European Union.

 PEPPOL, founded in 2008 as a result of an initiative of the European Commission, is regulated by OpenPEPPOL since 2012, an international non-profit association founded in Belgium and consisting of both public sector and private members. OpenPEPPOL’s objective is to enable businesses to communicate electronically with any European government institution in the procurement process, thereby increasing efficiencies and reducing costs. PEPPOL enables trading partners to exchange standards-based electronic documents over the PEPPOL network. These documents include e-Orders, e-Advance Shipping Notes, eInvoices, eCatalogues, Message Level Responses, etc.

InfoCert joins Sovrin Network, the first distributed digital identity system based on blockchain technology

Tecnoinvestimenti Group invests in the blockchain technology through one of its companies

Rome, 22 September 2017 – InfoCert, the largest Certification Authority in Europe and part of the Tecnoinvestimenti Group, announces its participation in the project of the Sovrin Foundation, a nonprofit organization based in the USA, for the launch of the Sovrin Network, the world’s first distributed and decentralized digital identity management System (self-sovereign digital identity). InfoCert is one of the founding members of the Foundation, as well as the first Certification Authority to join the project.

The Sovrin Network is based on blockchain technology also called “distributed ledger”. Innovative and disruptive, this system aims to allow individuals and organizations to create digital identities which can be managed in absolute control and regardless of governmental bodies, institutions or organizations.

The participation in the network is part of the R&D initiatives of InfoCert, which devotes in this area significant investments, on average about 6% of annual sales.

Instead of being based on a single system with a central administrator, distributed ledger is managed in a cooperative mode by a global pool of participants and identity records are stored redundantly at different nodes. The result is a reliable and shared source of truth, resilient to hacking and service issues.

The network is offered as a free public resource and any entity can develop fast, protected, and secure identity applications upon it. The Sovrin Network is active and is managed on validator nodes hosted by the “stewards” which are appointed by the Sovrin Foundation, as is the case with InfoCert. The stewards must agree the Sovrin Provisional Trust Framework and have the task of assigning the digital identity to the participants.

In addition, stewards are appointed by the Sovrin Foundation to ensure the reliability and trust of the network: unlike other distributed networks based on blockchain technology, Sovrin network is a “permissioned network”.

 The Sovrin Network’s business model is linked to the process of managing identities and on the transactions managed on the node.

To date, there has been a trial version of the platform released in September 2016, with the establishment of the Sovrin Foundation. With the current release of the entire network, digital identities can be included in the “ledger” of Sovrin and the developers can start implementing solutions based on the use of distributed identity.

 “The promise of a global system of public identity that gives anyone control over its digital identity and the absolute confidence in the identity of counterparties is now finally becoming reality ” says Phillip j. Windley, President of Sovrin Foundation. “Since the advent of the internet, there has been a strong sense of lack of a “self-sovereign” identity. Thanks to the development of distributed ledger/blockchain technology and the performance and privacy features implemented by Sovrin, it is now possible to overcome this incredible gap due to the architectural design of the internet.

Windley believes that the killer application of Sovrin Network will be the online exchange of identity declarations as well as claims by third parties, which will work just like physical credentials in the physical world. These statements allow remote identification of personal identities which remain under the control of the registrant, but are valid and safe at least as the physical display of traditional identity documents.

InfoCert was awarded the EU tender for the digital transformation of Frontex

The European Border and Coast Guard Agency (Frontex) will digitalize its workflow processes and signature procedures

Rome, 22 June 2017 The ambitious objectives of our digital workplace project are to improve, streamline and optimize our internal workflows and procedures; strengthen their governance and simplify their management – explains Pawel Sadownik, Frontex Project Manager – The electronic signature and electronic seal solutions are considered critical enablers to these improvements. Being able to use the technical, regulatory and business expertise as well as the innovative solutions provided by InfoCert, will strongly facilitate critically important changes in our internal processes”.

Based on these drivers, InfoCert, member of the Tecnoinvestimenti Group and the largest Certification Authority in Europe, announces that it has been awarded the public tender for the digital transformation of document and workflow procedures of Frontex, the European Border and Coast Guard Agency.

The project, which will last for three years and could be extended, foresees InfoCert providing assistance to Frontex to implement the most advanced and technologically secure Digital Signature solutions and Digital Trust services (eIDAS compliant qualified electronic signature certificates and qualified time stamps).

Supported by InfoCert, Frontex will digitalise its internal workflow processes, thereby eliminating paper, reduce operational risk and increase organisational efficiency and governance. With InfoCert’s GoSign solution, signature processes will be managed easily in a fully digital and collaborative fashion, enabling the secure management and sharing of simple documents as well as structuring seamless complex workflow procedures to be effected from any device, such as smartphones, personal computers or tablets.

The award of the Frontex tender represents InfoCert’s most recent success in its European expansion strategy.  The Company, in just few months, has gained prestigious clients, in both the public and private sectors, in the United Kingdom, France, Belgium, Holland, Slovenia, Austria, Romania and Poland and intends to continue this strategy.
