Tinexta Group extends its Digital Trust footprint to Germany

InfoCert signs a strategic agreement to acquire 16.7% of Authada, a cutting-edge German identity provider

The Agreement:

  • defines the terms of commercial collaboration and technical strategies that InfoCert and Authada will implement;
  • expands InfoCert’s footprint into the strategic DACH area;
  • advance the project to create a European Champion of Digital Trust Services;
  • provides a clear path for InfoCert to purchase 100% of Authada.

Rome, Italy/Darmstadt, Germany. 22 September 2020. Tinexta SpA announces the signing of a strategic agreement between its subsidiary InfoCert SpA, the largest European Certification Authority, and Authada GmbH, a German Digital Identity Provider with cutting edge technology, based in Darmstadt, Germany.

Authada is active in the financial, telecommunications and sports betting markets – with well-known customers such as Vodafone, Comdirect (Commerzbank Group) and Sparkassenfinanzgruppe – and is currently expanding into the insurance, eCommerce and eHealth sectors. Authada has been financed by FinLab AG, listed venture capital company, and Main Incubator GmbH, an early stage investor and R&D company of Commerzbank Group.

The agreement signed defines the terms of a strategic collaboration between InfoCert and Authada, including the localization of InfoCert’s leading Digital Enterprise Solutions for the German Market and their integration with Authada’s advanced eID identification solution.

 AUTHADA GmbH is the only certified identification service provider (BSI TR-03128) whose proprietary eID core is certified by the Federal Office for Information Security (Bundesamt für Sicherheit in der Informationstechnologie (BSI)) (BSI TR-03124 and BSI TR-03105). This technology allows the immediate reading of the data stored on the German electronic identity card. Such cards, already used by over 90% of the population in Germany, will arrive at complete national coverage by the end of 2020.

Structure of the operation

The strategic agreement foresees the following:

  • Authada’s current shareholders have committed to undertaking a capital increase;
  • InfoCert is participating as lead investor in this capital increase and has paid a modest seven-figure consideration in exchange for a 16.7% participation in the form of special shares that guarantee certain preferential rights;
  • Finally, InfoCert has been granted call options that may be exercised following the approval of 2021 and 2022 results that will permit to arrive at 100% control of Authada, given certain conditions.

An Advisory Board will be constituted, which will be made up of representatives of Authada management, FinLab and InfoCert, that will meet periodically to review and approve all major decisions within Authada.

Rome, July 6th 2020 – InfoCert (Tinexta Group), the leading Qualified Trust Service Provider in Europe, is participating in the PRESENT project (Photoreal REaltime Sentient ENTity), funded by the European Union’s Horizon2020 in the research initiatives field, aimed at developing leadership in the enabling and industrial technologies.

The PRESENT project  will last three years and end in August 2022. This visionary project has the ambitious goal of creating trustworthy intelligent virtual agents. Specifically, the aim is to create embodied agents that will support or, where appropriate, replace humans in situations today based exclusively on the human-to-human interaction.

Such a new concept of a Trustworthy Virtual Agents (“TVA”), even though totally digital, will have human form and features and will be very similar to famous characters from the computer graphic animation world. As the graphic animation characters, they will be able to interpret and express a wide variety of emotions, enhancing interaction with humans to a potentially higher and more secure level.

The project, which was awarded European financing in excess of 4 million euros, foresees the participation of both private companies and academic institutions. Among these, the Spanish Pompeu Fabra University and German University of Augsburg; the British company Framestore, multiple academy award winner for visual effects (Blade Runner 2049, Gravity, Golden Compass); the Spanish company Brainstorm; UK company Cubic Motion, specializing in special effects for the film and game industries; INRIA, the French National Research and Safety Institute; Belgian company Crew, a pioneering company in immersive virtual reality performance and InfoCert, the largest  Certification Authority in Europe.

InfoCert will certify the TVA’s identity and secure trust along the entire value chain. This will open the door to new and advanced use cases of sentient agents in which trust and identity play a key role.

It’s not difficult to think about a not far away future where we will find ourselves interacting with a virtual agent that will play the role of a financial advisor, a personal trainer or a health worker. InfoCert is the first Qualified Trust Service Provider (QTSP) in Europe to be accredited to issue LEI codes

The GLEIF International Foundation has accredited InfoCert to issue LEIs codes in various European countries. LEI were made mandatory by the latest Market in Financial Instruments Directive (Mifid II)

Rome, 4 June 2020 – InfoCert (Tinexta Group), the largest Certification Authority at European level, announces that it has been accredited by the Global Legal Entity Identifier Foundation (GLEIF) as a Local Operating Unit (LOU) authorised to issue Legal Entity Identifiers (LEI). LEIs are 20-character, alphanumeric codes which are mandatory for some legal entities engaging in financial markets, where their identity must be certain. Accreditation is not only related to Italy but extends to Spain and Luxembourg where InfoCert operates through its subsidiaries Camerfirma and LuxTrust.

GLEIF, a not-for-profit foundation headquartered in Basel, Switzerland, was founded by the Financial Stability Board, composed of the representatives of Central Banks, Government Entities and Regulatory Authorities of approximately 25 jurisdictions. GLEIF’s role is to support the implementation and use of the LEI globally to increase transparency in financial markets via the clear and unique identification of legal entities participating in financial transactions, thus containing market abuse and financial fraud. Currently more than 1.6 million of LEI codes have been issued worldwide.

The LEI code is the first instrument devised for the unique identification of financial institutions’ clients at a global level. In fact, LEI codes enable the identification of legal entities operating in financial markets in any country around the world.

InfoCert is the first European QTSP authorized to issue LEI codes, allowing it to further enrich its portfolio of Trusted Services. Thanks to this accreditation, InfoCert will be able to strengthened its leadership position as Digital Trust provider of the corporate world.

As from today, in fact, companies can obtain through InfoCert their LEI code bundled with PSD2 certificates, website certificates, digital identities, digital signature certificates, electronic seals and registered e-mail.
