InfoCert and LuxTrust: the European Digital Champion becomes a reality at the heart of international market of financial services.

Yesterday, in Luxembourg, the kick-off event celebrating the strategic partnership was held. According to Forrester, “In 2019 digital transformation will become pragmatic.”

Luxembourg, 27 February 2019 – InfoCert (Tinexta Group), the largest Qualified Trust Service Provider in Europe, and LuxTrust, the leader in Digital Trust in Luxembourg, express their full satisfaction with the event they organized yesterday in Luxembourg, where more than 50 top international managers, mainly from the financial sector, participated.

The meeting represents the official launch of the partnership which will primarily address the Benelux and French markets. Together with Camerfirma, one of the main Spanish Certification Authorities, the InfoCert-led trio aims to create the first Digital Champion in EU capable of serving all European local markets with its cutting-edge trust solutions.

After the introduction of Serge Allegrezza, President of the LuxTrust board, and Pier Andrea Chevallard, CEO of Tinexta, the challenges, and opportunities offered to the world of financial institutions within the framework of the Digital Single Market were examined – thanks also to the valuable contribution of the independent analyst Aurelie L’Hostis of Forrester and of the EU DG-Connect policy officer Konstantinos Kapsouropoulos.

Afterward, InfoCert CEO Danilo Cattaneo, LuxTrust CEO Pascal Rogiest and Camerfirma CEO Alfonso Carcasona discussed the joint trust solutions currently available for the European Market, as well as the individual expertise offered by InfoCert, LuxTrust and Camerfirma.

The companies, in line with Forrester’s 2019 forecasts, intend to make a concrete and leading contribution to making digital transformation “pragmatic” by leveraging their skills and experience in the field of technology and regulatory compliance.

Companies and organizations operating in Italy, France, Belgium, the Netherlands, Luxembourg, Spain and elsewhere in Europe can now leverage on a wide range of digital trust solutions, also rendered more valuable, thanks to the synergy and the complementarity of the offerings of companies that have long been recognized as digital leaders in their respective geographical areas.

Building the Digital Future Camerfirma and InfoCert together for the Spanish market illustrating challenges and opportunities of Digital Single Market

Tecnoinvestimenti Group Signs a Strategic Partnership with LuxTrust: A Fundamental Step towards the European Champion in Digital Trust. LuxTrust is the Leading Digital Trust Services Provider in Luxembourg with a Strong Institutional Sponsorship.

 

Luxembourg, Rome. 26 September 2018 – Etienne Schneider, Deputy Prime Minister, Minister of the Economy of Luxembourg, announced today the partnership between LuxTrust S.A. (“LuxTrust”) and Tecnoinvestimenti Group, active in Digital Trust, Credit Information & Management and Innovation & Marketing Services.

Tecnoinvestimenti, through its subsidiary InfoCert S.p.A. (“InfoCert”), the largest Certification Authority in Europe, has signed an agreement to acquire 50% of LuxTrust, the leading player in Digital Trust in Luxembourg with a strong institutional sponsorship, via an initial subscription of a €12 million capital increase.

The Joint Venture between InfoCert and LuxTrust is a second fundamental step towards the goal of creating the leading Pan-European Trust Service Provider. The partnership will engender the growth of LuxTrust by offering best-in-class services to existing and new customers and spur international development to expand digital trust business in all its reference markets.

LuxTrust will retain its data centres in Luxembourg and strengthen its role as the main national critical infrastructure for Digital Identity and Qualified Trust Services Provider. The joint venture will enable LuxTrust to invest in Research & Development, further developing its intellectual properties and the breadth of core competences of its staff. Also guaranteed under the partnership is the service continuity for existing customers.

In advance of the transaction, the historic Luxembourg shareholders of LuxTrust, which  include the Government of the Grand Duchy of Luxemburg (38.58%), Société Nationale de Crédit et d’Investissement – SNCI (16.93%), as well as the Luxembourgish Chamber of Commerce, principal retail banks and Post Luxembourg, have established before LuxTrust’s capital increase a holding company (“LuxTrust Development”) to hold their shares in LuxTrust and support future LuxTrust’s growth. The same principal shareholders have thereby restated their long-term commitment to LuxTrust and its national and international strategy.

The Transaction

InfoCert is acquiring 50% of LuxTrust SA by underwriting a capital increase of €12 million capital increase that foresees a price adjustment of up to €4 million determined according to the value of LuxTrust’s 2018 year-end Net Financial Position. As general Tecnoinvestimenti policy, the transaction will be funded by utilizing internal resources and in part via new financial debt. The operation is scheduled to close before the end of 2018.

Tecnoinvestimenti Group Realizes First Acquisition Abroad in Pursuit of International Leadership in Digital Trust: InfoCert & the Spanish Chambers of Commerce to collaborate to expand the Digital Trust business in Spain and South America.

The acquisition of a majority stake in Camerfirma is the first strategic step in the creation of a pan-European QTSP (Qualified Trust Service Provider)

Rome, Madrid. 3 May 2018 – Tecnoinvestimenti Group, through its subsidiary InfoCert S.p.A. (InfoCert), the largest Certification Authority in Europe, announces to have successfully completed the acquisition -by means of the subscription of new shares- of a majority stake in AC Camerfirma SA (Camerfirma), one of the leading Spanish Certification Authorities.

InfoCert, based in Rome, is the Italian leader in Digital Trust services and is pursuing an ambitious goal to create a Pan-European Trust Service Provider through organic growth, M&A and partnerships. In such context, Camerfirma has been selected as the ideal partner to develop the Iberian and Latin America markets.

Camerfirma was established as Certification Service Provider under Spanish Law 59/2003 of 19 December regarding Electronic Signatures and Identity Certificates that allows companies and their employees to sign electronically documents with full technical security and legal validity.

Camerfirma reported Euro 3.3 million in revenues and an EBITDA of Euro 0.5 million in 2017. At 31 March 2018 the net cash position amounts to Euro 0.3 million.

The Transaction

InfoCert has acquired 51% of Camerfirma by underwriting a capital increase of Euro 3.1 million. InfoCert will fund the acquisition by utilizing internal resources.

The operation will allow InfoCert to boost its international growth strategy through:

  • The creation of a multi-national Trust Service Provider with solid institutional roots and a clear focus on EU markets and regulatory compliance;
  • The integration of respective offering and capabilities for a more effective market coverage, thereby expanding both companies’ portfolio of services and delivery capabilities to better address their respective markets;
  • The exploitation of synergies in infrastructure, operations, investments, innovation and new product/solution development.

Tecnoinvestimenti SpA

The Tecnoinvestimenti Group reported the following Consolidated results for 2017: Revenues of Euro 181.0 million, EBITDA of Euro 40.6 million and Net profit of Euro 20.3 million. The Group, listed on the STAR segment of the Milan Stock Exchange, is one of Italy’s top operators in its three areas of business: Digital Trust, Credit Information & Management and Innovation & Marketing Services. The Digital Trust Business Unit, through the companies InfoCert, Visura and Sixtema, provides products and services for digitalisation, electronic billing, certified e-mail and digital signature, as well as services for professionals, associations and SMEs. Camerfirma, incorporated in 2000 by the Chamber of Commerce of Spain, is an eIDAS qualified Certification Authority, with the participation of 72 Spanish Chambers of Commerce. The company is part of ChamberSign, a European organization that authenticates digital certificates in Europe. Camerfirma’s mission is to offer its customers the possibility of using digital certification as a working instrument for the interaction with other companies and public administration bodies.
